1. Overview

These Terms of Service ("Terms") form a legally binding agreement between you and Peanutize Me, operated by NanoBanana Studio ("Peanutize Me", "we", "us", or "our"). They describe your rights and responsibilities when accessing or using the website located at https://soradeo.com, our web applications, and any related services (collectively, the "Service").

By creating an account, purchasing credits, starting a subscription, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced within them, including our Privacy Policy and Refund Policy. If you do not agree, you must discontinue all use of the Service.

2. Eligibility and Accounts

• You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. Users between 13 and the age of majority must have permission from a parent or legal guardian.
• When you register, you must provide accurate and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• Notify us immediately at email if you suspect unauthorized access to your account. We are not liable for losses arising from compromised credentials that you fail to safeguard.

3. Description of the Service

Peanutize Me allows you to generate, customize, and download Peanuts-inspired avatars and related digital assets using AI-assisted tools. Features may include free previews, subscription tiers, one-time credit bundles, and promotional campaigns. We continually improve the Service and may add or remove features at any time.

We do not guarantee uninterrupted or error-free access. Planned or unplanned downtime may occur for maintenance, security updates, or reasons beyond our control.

4. Purchases, Credits, and Subscriptions

• Digital Credits. Certain activities require paid credits. Credits are a limited, non-transferable right to access specific features. Credits have no cash value and expire or are forfeited according to the rules displayed at purchase.
• Subscriptions. Subscription plans grant recurring access to designated features for the term you select (for example, monthly or yearly). Unless stated otherwise, subscriptions renew automatically until cancelled. Cancel renewals through your account settings or by contacting support before the next billing date.
• Billing. We use third-party payment processors (currently Stripe) to handle transactions. By providing payment details you represent that you are authorized to use the chosen payment method and authorize us (and our processor) to charge applicable fees, taxes, and any recurring payments.
• Price Changes. We may modify pricing at any time with prior notice. Changes apply to new purchases. For auto-renewing plans we will provide reasonable advance notice, and the updated price takes effect on the next billing cycle.
• Refunds. Refund eligibility is outlined in our Refund Policy. Certain purchases, especially digital credits that have been used, may be non-refundable.

5. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. You may not sublicense or assign this license.

6. Acceptable Use

You agree not to:

1. Violate any applicable law, regulation, or intellectual property right.
2. Misuse the Service to create content that is harmful, defamatory, hateful, infringing, or otherwise objectionable.
3. Attempt to probe, scan, or test the vulnerability of the Service or bypass any security or authentication measures.
4. Use automated scripts, bots, or scraping tools to extract data or interfere with the Service.
5. Resell or exploit any portion of the Service, the platform’s outputs, or access to your account without express written permission.
6. Impersonate another person or misrepresent your affiliation with any entity, including Peanuts Worldwide LLC. Peanutize Me is a fan-created tool and is not affiliated with or endorsed by Peanuts Worldwide.

You must not request, generate, upload, distribute, monetize, or otherwise use any content through the Service that infringes the intellectual property or proprietary rights of any third party, including copyrighted characters, likenesses, music, film, software, or designs, unless you hold a valid license or other written authorization. We reserve the right to reject prompts or outputs that resemble protected works or other licensed materials.

Stripe Prohibited and Restricted Uses

We process payments through Stripe and are required to enforce the Stripe Services Agreement, including Stripe’s Prohibited and Restricted Businesses list. Without limitation, you agree not to use the Service to facilitate goods, services, or activities that fall within any of the following representative categories:

• High-risk jurisdictions and persons: dealings with individuals, entities, or goods tied to Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, or Luhansk regions, or any person on a restricted-party list.
• Illegal products and services: illegal drugs or substances, equipment intended for drug production or use, fake identification services, telecommunications manipulation devices, or any activity that promotes unlawful violence.
• Adult content and services: pornography, sexual services, fetish services, adult live-chat features, strip clubs, or any AI-generated content that depicts explicit sexual acts or nudity.
• Debt relief companies: debt settlement, negotiation, or consolidation services.
• Certain financial services: ATMs, check cashing, debt collection, money orders, peer-to-peer money transmission, shell banks, payable-through accounts, and other unlicensed financial intermediaries.
• Gambling and games of chance or skill for monetary value: internet gambling, casino games, lotteries, sweepstakes, contests, sports forecasting, or bidding-fee auctions.
• Unauthorized government services: any product or service offered on behalf of a government entity without authorization, misleading claims about government benefits, or disbursement of government economic support.
• Identity services: identity theft protection, monitoring, or recovery services.
• Intellectual property violations: counterfeit goods, unauthorized sales or distribution of copyrighted or trademarked materials, illegally imported or exported products, brand-name products sold without authorization, or facilitation of third-party IP infringement.
• Certain legal services: bankruptcy attorneys, bail bonds, or firms collecting funds for purposes other than bona fide legal fees.
• Lending and credit abuses: loan repayments by credit card, credit monitoring, credit repair, or similar services.
• Marijuana and controlled substances: cannabis products, dispensaries, CBD products above legal THC limits, cultivation equipment marketed for growing marijuana, or training on marijuana cultivation.
• Nutraceuticals and pseudo-pharmaceuticals: unsafe or unapproved supplements, pseudo-pharmaceuticals, or products that make harmful medical claims.
• Nonfiat currency and stored value: cryptocurrency mining or staking, initial coin offerings, secondary NFT sales, sale of stored value, in-game currencies, or preloaded payment instruments without authorization.
• Travel and reservation abuses: commercial or charter airlines, cruises, timeshares, certain travel reservation services, or travel clubs when prohibited by Stripe.
• Unfair, deceptive, or abusive practices: pyramid schemes, multilevel marketing programs, “get rich quick” schemes, misleading testimonials, fake endorsements, negative-option billing, resale of government services without added value, traffic or engagement sales, or deceptive upselling.
• Weapons, explosives, and dangerous materials: firearms, ammunition, weapon components, fireworks, chemical agents, toxic substances, or disguised weapons.
• Third-party payment facilitation: payment aggregation, receiving settlement proceeds for goods or services you did not provide, or sharing cardholder data for cross-selling.
• Prohibited uses of Stripe products: false or misleading business information, using Stripe as a virtual terminal, processing transactions without a bona fide good or service, evading chargeback monitoring, or unauthorized use of Stripe’s intellectual property.

Stripe also requires additional due diligence for certain restricted businesses—including content creation platforms that monetize third-party content, crowdfunding, dating services, cyberlockers, CBD products, cryptocurrency exchanges or wallets, investment and lending services, pharmaceuticals or telemedicine, tobacco products, stored value programs, precious metals, high-value travel services, and other regulated industries. You must not use the Service for these categories unless we have provided prior written consent and Stripe has confirmed eligibility.

We may suspend or terminate your access to the Service, refuse to fulfill prompts, or remove content if we believe your activity violates Stripe requirements, applicable law, or these Terms. We may update this section at any time to reflect changes in Stripe’s policies.

We reserve the right to investigate violations and to suspend or terminate accounts that breach this section.

7. Intellectual Property

All copyrights, trademarks, trade secrets, and other intellectual property in the Service, including the software, templates, text, graphics, logos, and brand elements, belong to Peanutize Me or our licensors.

You retain ownership of any original content you upload or submit to the Service. By providing content, you grant us a worldwide, royalty-free, non-exclusive license to host, store, and display your content solely for the purpose of operating and improving the Service.

8. Generated Artwork and Usage Rights

• You may use avatars and outputs you generate for personal and commercial projects, subject to compliance with these Terms and any rights held by third parties.
• You are solely responsible for ensuring that your usage of generated content does not violate third-party rights, including publicity rights or existing trademarks.
• Generated outputs may be similar to outputs received by other users due to the nature of AI systems. We do not guarantee exclusivity.

9. Feedback and Suggestions

If you volunteer feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation to you. Feedback is not treated as confidential information.

10. Third-Party Services

Our Service integrates with third parties, including payment processors, analytics providers, and content delivery networks. Those third parties operate under their own terms and privacy practices. We are not responsible for third-party services and disclaim liability for their acts or omissions.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PEANUTIZE ME AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (USD $50).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you. In that case, our liability will be limited to the extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Peanutize Me, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your access to or use of the Service, (b) your breach of these Terms, or (c) your infringement or violation of any third-party rights.

14. Suspension and Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, our policies, or applicable law. Upon termination, your right to use the Service will end immediately. Sections that by their nature should survive termination (including payment obligations, intellectual property, limitations of liability, indemnity, and dispute provisions) will remain in force.

You may delete your account at any time through your dashboard or by contacting support. Termination does not relieve you of obligations incurred prior to termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction.

If arbitration is prohibited where you live, disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the revised Terms on the Service and update the "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
